The Vice President, General Counsel & Secretary serves as the chief legal officer and a member of the senior management team. The incumbent represents and directs the representation of company in all legal matters; serves as legal advisor to the CEO, Board of Directors, and senior executives; and serves as a resource on legal matters and issues of corporate procedure and governance. The Vice President, General Counsel & Secretary reports to the CEO and oversees or handles all legal aspects of governance and legal compliance, transactional and regulatory matters related to the company, including directing associate counsel employed by the company and outside counsel retained to represent the company.
