Working under the supervision of the General Counsel and the VP-Legal Services, this Senior Corporate Counsel will be primarily responsible for providing expert legal advice, guidance and support to various business units, including Chief Financial Officer. This position will provide legal counsel in the areas of finance, treasury, corporate development, securities matters (Form 10-K, Form 10_Q, Form 8-K, proxy statement, investor relations and mergers and acquisitions. The Senior Corporate Counsel will conduct due diligence and coordinate due diligence with cross-functional business units, review and coordinate comments on principal transaction documents and disclosure schedules, coordinate closing of transactions, draft and negotiate confidentiality agreements and assist with other M&A matters.
