Reports to, and under the direction and supervision of, Assistant General Counsel responsible for global investment and trading matters. Responsible for legal matters relating to fixed income, derivative and equity trading for global advisory business, including evaluating global regulatory developments (ex. Dodd-Frank, CFTC, EMIR) and reviewing and negotiating transaction related documentation including swaps clearing and execution agreements, ISDA Master Agreements, futures and options agreements, repurchase agreements, MFSTA agreements, bank loans, structured notes and other complex debt documentation, electronic trading agreements, international brokerage agreements and non-disclosure agreements in connection with investment transactions and private investment documentation (stock purchase agreements and investor rights agreements). Analyze issues and respond to business inquiries relating to general investment eligibility, ownership limitations and trading related matters. Provide support to Compliance relating to trading and investment matters.
