Responsible for various corporate and business matters, including, but not limited to, the following: (a) general business matters not otherwise handled within in-house legal department (e.g. asset acquisitions and dispositions); (b) contract negotiations and compliance not otherwise handled within in-house legal department (e.g. distributor agreements, service contracts, vendor agreements, finance agreements, etc.); (c) contract/legal document record keeping systems; (d) insurance contracts, insurance coverage and risk management issues; (e) real estate matters and facility issues (e.g. leases, easements, facility compliance issues, safety and environmental issues); (f) corporate compliance matters (e.g. annual minutes, board resolutions, officer/director/manager changes, organizational agreements and documents); (g) affiliate issues, agreements and compliance matters not otherwise handled within in-house legal department (e.g. affiliates include subsidiary corporations, real estate entities controlled by family, corporate jet entity controlled by the family, family businesses and family-related nonprofit corporations); and (h) interfacing with human resources regarding employment law and labor matters and issues.
