The position is responsible for providing Legal advice and counsel with respect to a wide range of corporate governance and company secretarial matters, including corporate governance programs and policies, board of director programs and policies, SEC filings and reports, including support for periodic and other reports (10-K, 10-Q, 8K, Proxy), and insider trading programs and policies. Requires strong understanding of federal and state securities laws and regulations and applicable listing exchange (NYSE) regulations. This position will review, draft, negotiate and administer a wide range of commercial contracts on behalf of the company.
