The Director will lead the internal and external legal team responsible for ensuring enterprise compliance with the federal securities laws and state corporate laws, as well as NYSE rules and other similar Corporate regulations, and act as the lead in-house counsel for all securities filings. Advise the General Counsel and CEO on evolving governance rules and standards, and prepare materials in support of Board meetings and decisions. Act as senior in-house counsel to the Corporate Development team on its most strategic and complex merger and acquisition activities.
