The Attorney will provide legal advice primarily with regard to securities matters and corporate governance. Review and prepare annual shareholder meeting materials. Review and prepare periodic SEC reports, including the Proxy Statement and Forms 10-K, 10-Q and 8-K. Assist in developing and maintaining policies and procedures to ensure compliance with Sarbanes-Oxley, NYSE Regulations, SEC Regulations, and other regulations applicable to public companies. Review press releases and other disclosure materials. Advise on general corporate and securities issues, including issues relating to securities matters, M&A deals, corporate governance, corporate policies, procedures and programs, and equity compensation plans.
