Reporting to the Senior Vice President and General Counsel, the Corporate Counsel will be primarily responsible for: SEC reporting and Nasdaq compliance matters, including drafting 10Ks, 10Qs, Proxy Statements, 8-Ks and Section 16 filings in collaboration with internal and external accounting and legal teams. Drafting and negotiating collaboration agreements and intellectual property licenses in collaboration with business development and legal teams and outside counsel. Managing the overall corporate contracting process, including negotiating significant contracts common to the biotechnology industry, such as master services agreements, contract manufacturing agreements, clinical trial agreements and materials transfer agreements. Supervising non-lawyer legal professionals in the negotiation and finalization of standard legal agreements
