Provide legal counsel to internal business customers in a wide variety of areas, with a focus on securities law, corporate governance, and executive compensation/benefits. Manage all legal aspects of the drafting and review of company’s 1934 Act filings, including the Proxy Statement (including familiarity with Item 402 of Regulation S-K), Form 10-K, 10-Q, 8-K, and 11-K, as well as Section 16 filings/compliance and stock exchange compliance; advise business partners on issues relating to required disclosure, insider trading restrictions and other issues. Participate in preparation for Board of Directors and Stockholders meetings, including preparation and/or review of resolutions, minutes, meeting agendas, updates on changes in applicable law or regulations, etc.
