Provide counsel and advice on U.S. federal and state securities, banking, and business laws and regulations including the Dodd-Frank Act affecting the Bank, other overseas affiliates as well as their interactions with UB and MS. Draft, review, and negotiate documents for and provide advice regarding legal structure and regulatory issues in connection with strategic projects as well as loan and capital markets transactions. Provide regulatory monitoring and advice and counsel regarding banking powers, new product development, regulatory and examination compliance, and other bank and securities regulatory matters.
