Review and/or draft SEC filings, including 10-Ks, 10-Qs, 8-Ks, Proxy Statements, and Section 16 filings. Assist in preparation of agendas, pre-meeting materials, resolutions, and minutes for meetings of the Board of Directors and Board Committees. Provide advice and counsel on corporate governance matters, including the Sarbanes-Oxley Act, Nasdaq and SEC requirements, and Delaware General Corporate Law. Assist in review of earnings and other financial-related press releases, and scripts and presentations made to investment community.
