Primary responsibility for negotiating and drafting a broad range of customer and vendor contracts, including software licensing, SaaS solutions, and statements of work for related professional services, as well as strategic partner contracts, including reseller arrangements, OEM, technology and product development agreements. Assist in the preparation and filing of Forms 10-K, 10-Q, 8-K, proxy statements and registration statements on Forms S-3 and S-8 as well as Forms 3, 4 and 5. Evaluate and develop appropriate policies and procedures for legal compliance.
