Serve as subject matter expert, and coordinate and provide legal advice on corporate governance, SEC, Sarbanes-Oxley and NYSE compliance and disclosure matters, and play key role in preparing for meetings of the Board of Directors and committees of the Board of Directors. Preparing and/or reviewing SEC ‘34 Act filings, including proxy, 8-Ks, 10-Ks and 10-Qs, comment letter responses, Section 16 and other public disclosures. Take the lead legal role on the proxy statement, which is prepared in house.
