Reporting to the VP Assoc General Counsel, The Senior Corporate Counsel possesses strong legal and business acumen and works closely with key members in the Finance team to execute company's M&A strategy. This role will be the chief counsel to the Finance Department and will be the individual primarily responsible for analyzing the covenants contained in the company's debt documents in light of pending transactions. This person will also be the primary SEC attorney for the company, advising on both '33 Act and '34 Act matters as well as drafting and reviewing all SEC filings from quarterly and annual reports to registration statements, private placements, Forms 3/4/5, etc.
