This position reports to the VP, General Counsel and will have frequent contact with all levels of management within the Company. The attorney we are looking for will have at least seven years of legal experience, with broad commercial transactions expertise, 1934 Act and regulatory compliance skills and a strong background in IP. The attorney will work closely with the GC on a diverse array of legal matters, including responsibility for: handling the Company's IP transactional work, including mergers and acquisitions, complex sales contracts, structuring, drafting and negotiation of development, technology, licensing, distribution, marketing, and commercial agreements; and, providing ongoing legal counsel with respect to federal securities law, public company reporting, HR and employment law matters, export and regulatory compliance, litigation management, IP protection, and general corporate governance.
