Job Description:

Position Purpose: Corporate Counsel will handle legal matters for Ascensus and its affiliates, including: contract negotiation and drafting; litigation and dispute management and resolution; mergers and acquisitions; counseling senior management; corporate governance and compliance; risk management; employment issues; and intellectual property issues

Essential Duties and Responsibilities

Corporate Counsel will report to Ascensus’ General Counsel and have responsibility for the following matters:

Draft, negotiate and interpret contracts with clients, vendors and other third parties
Handle disputes and litigation, managing outside counsel when necessary
Perform due diligence, and draft and negotiate agreements, on mergers and acquisitions
Provide advice and counsel to senior management and other business leaders on legal, compliance and business issues
Handle corporate governance and compliance, such as preparing resolutions and other materials for board of directors meetings
Support Ascensus’ Governance, Risk Management and Compliance Department to ensure compliance with laws, regulations and Ascensus policies
Manage employment issues
Handle intellectual property issues such as trademark and copyright enforcement
Assist Ascensus’ Finance Department in interpreting and complying with credit facility documents
Work with Ascensus’ ERISA Legal Department to advise the business on laws and regulations
Manage other day-today legal and compliance issues as necessary

Experience and Education

Corporate Counsel should have the following experience and education:

J.D. from an accredited U.S. law school
Membership in good standing with a state bar association
New York or New Jersey are preferred
Three to five years as a practicing attorney
at least three years as a corporate associate in a law firm
two or more years as in-house counsel is preferred
Experience in the financial services industry or outsourcing of services is preferred
Experience in the retirement plan industry is optimal
