The position of General Counsel and Corporate Secretary shall contribute to the success of the Company and its subsidiaries and affiliated entities through providing professional in-house legal services, risk management services, insurance services and serving as Corporate Secretary, ensuring compliant and comprehensive record keeping, as well as governance oversight. The General Counsel shall provide overall strategic and ethical leadership and direction for all legal matters involving the Company, including Executive Leadership team, managers, and Associates; regulatory matters, risk assessment, and compliance issues (in collaboration with Human Resources and Compliance); labor and employment litigation; and general litigation. The position shall be responsible for the negotiating, writing, reviewing, summarizing, researching and executing of a wide variety of legal issues, documents and agreements for Company, including but not limited to marketing agreements, intellectual property agreements, employment agreements, real estate leases, confidentiality agreements, and other general business transaction documents such as asset purchase, stock purchase, management and joint venture agreements.
