Job Description
Reporting to the Chief Executive Officer (CEO), and working closely with senior leadership and Board of Directors, the CLO will develop and lead corporate legal strategy to promote and protect matters and serve as a key member of the Executive Team. The CLO will have leadership responsibility for Internal Audit and Corporate Compliance including the Special Investigations Unit; Government Affairs and oversight and management of Senior Programs (Medicare). This position must work closely with all business leaders in all matters of contract and litigation, maintaining comprehensive knowledge and understanding of pertinent federal and state laws, regulations, rulings, and interpretations, particularly as they relate to Massachusetts and National Health Care Reform.

Duties and Responsibilities
1. Partner with the President/CEO and executive team to drive overall business results, bringing high levels of business acumen, creativity and strategic thinking
2. Oversee delivery of legal services and resources to accomplish corporate goals, strategies and priorities
3. Provides legal advice and counsel to the governing bodies and managers of HPHC
4. Maximize efficiency of SIU investigatory and recovery activities, and minimize litigious risk for the organization
5. Establish and maintain credibility and trust with the company’s leadership team and a wide range of business and corporate partners including, but not limited to, other corporations, vendors, outside agencies, associates, the executive team and the Board of Directors
6. Responsible for corporate interactions with the Massachusetts Attorney General’s Office, the DOI and other national and state regulatory agencies, as well as with national and state legislators and the community at large.
7. Serves as a Consultant/Advisor to the Chief Executive Officer and other senior corporate officers on a variety of sensitive topics that include but are not limited to:

Serves as executive staff to the HPHC Board and participates on Board sub-committees
Responsible for Board Management within by laws established
Senior Management Personnel issues, including employee relations, compensation and benefits
Executive severance agreements and contract arrangements
Major corporate transactions, including affiliations and joint ventures
8. Manages all corporate legal issues including those relating to planning and execution of contracts (including financial arrangements), strategic business plans (including corporate reorganizations, divestitures, acquisitions, mergers, and new business development), regulatory compliance, provider contracting, risk management, employment, fraud prevention and litigation,
9. Participates in formulation of general management policy as a member of the Executive -Team.
10. Responsible for overseeing and leading direct report(s); recruits, selects, orients, and trains employees; supervises according to overall company policy and practice; demonstrates support to organization mission, vision and values; sets goals and objectives by clearly communicating job expectations; performance planning, monitoring, and appraising of job results; develops staff to maximize potential through coaching; upholds standards, policies, procedures, and productivity expectations, utilizing the employee discipline process up to and including termination.
11. Other duties as assigned.

Minimum Requirements
Law Degree with State Bar Licensure. Experience in the health insurance business preferred, broad business experience that aligns with the changing direction of our organization highly preferred, experience as a General Counsel within dynamic organizations is critical, as well as experience with state regulators in the New England area. Knowledge, creativity and experience associated with structuring partnerships, joint ventures, affiliations, shared services. A true business and change leader motivated by changing directions and challenges. Capable of mentoring staff and colleagues on approaches to traditional as well as new and complex business problems; approachable as advisor to senior executives both inside and outside of the organization. Must have proven ability in partnering with senior leaders in the business – both to collaborate and push back in a way the strengths the relationships and the business. Leadership skills (behavioral and technical) are core to this position. Must display sound judgment and common sense. Someone who can think simply and clearly about very complicated issues. Presentation capability – presenting legal challenges in a framework of support to the business. A respected lawyer and executive leader that is seen as a proactive, result driven individual.

Working Environment:
Normal office environment. Must have ability to travel between HPHC sites.
