Advise on mergers, acquisitions, divestitures and joint ventures, both domestic and international, including due diligence; drafting and negotiating confidentiality agreements, stock and asset purchase agreements, joint venture agreements and transaction agreements and documents; and managing the closing process (including government, third-party and internal approvals). From time to time, provide legal advice to the Treasury Department on financing transactions, including revolving credit arrangements, commercial paper programs and other debt transactions as well as public offerings, swaps, share repurchase programs and other Treasury-related matters and drafting related documentation.
