Summary
Provides leadership, legal advice and guidance to the Company’s management team within defined accountability areas and in a manner that is timely, proactive, practical, cost-effective, and meets the highest legal, ethical and professional standards. Oversees and administers all necessary legal services within defined accountability areas, in cooperation with other in-house or outside legal counsel. Regularly interacts with Company leaders on issues having significant impact for the Company.

This is a senior position accountable for supporting the Company's commercial, corporate and compliance functions.

Essential Functions:
Provides leadership, legal advice and strategic guidance to Company representatives within accountability areas.
Prepares, reviews and negotiates highly complex contracts on behalf of the Company.
Researches and understands existing and proposed legislation affecting the Company and advises impacted departments on methods of compliance.
Participates in the definition, development and interpretation of Company policies, procedures and programs.
Prepares and delivers training to Company management on legal issues within accountability areas.
Selects, retains and supervises outside counsel to obtain legal advice and/or to handle claims and litigation within accountability areas.
Judges the merits of litigation and other contested matters filed against or on behalf of the Company and works with the appropriate management personnel to define a defense strategy and facilitate settlement of disputes where warranted.
Provides legal advice and guidance related to the Company’s risk management and compliance processes.
Manages and develops direct reports (if any) to facilitate successful performance, following the management processes developed by the Legal and Human Resources departments.
Travels, domestically and internationally, as business needs require.
Performs any other functions delegated by the Chief Counsel or other leadership within the Legal department.

· Frequently, incumbent’s decisions and actions strongly impact the company’s revenue, reputation, and customer satisfaction.
· Generally makes independent decisions and/or recommendations, gives direction to others, performs work independently or with minimal direction or supervision.
· Works under established legal guidelines and controls as well as applicable laws, rules and regulations within areas of accountability.

Qualifications

Knowledge, Skills and Abilities:
Law degree from an accredited nationally recognized law school (undergraduate business degree or MBA a plus).
Active member of a State bar in good standing and commitment to promptly obtaining license in the State where employed.
At least eight years legal experience required; experience working as in-house counsel is strongly preferred.
Extensive knowledge of and ability to interpret applicable laws, rules and regulations within accountability areas.
Corporate, privacy, regulatory and/or international experience preferred.
Litigation background is helpful.
Ability to take on a leadership role.
Ability to successfully communicate with all levels of management, stakeholders, vendors and customers.
Ability to lead critical projects and to facilitate resolution of highly complex situations with multiple constituents.
Consistent attention to detail, good judgment and the ability to effectively prioritize and timely produce high quality work product.
Ability to facilitate resolution within highly complex and stressful situations with multiple constituents.
Demonstrated experience in contract negotiations.
Demonstrated skill in preparing and presenting effective written and oral reports, and recommendations.
Ability to apply facts to law to find solutions and determine risk.
Strong analytical, conceptual and problem solving skills.
Demonstrated skill in conducting information and organizing material into a manageable form.
Ability to work as part of an enterprise Legal department and collaborate both within and outside of the department.
Industry-specific experience preferred.
Experience with government contracted and/or regulated entities preferred.
Strong PC skills and Microsoft proficiency.
