We are currently seeking an Senior Securities and Corporate Counsel for our Plymouth, MN location. The Senior Securities and Corporate Counsel will provide legal counsel to company on a variety of securities, SEC reporting and disclosure, public company and finance related matters. Responsibilities include reviewing and preparing company’s quarterly and annual reports, regulatory disclosures, 8-K filings, proxy and registration statements, NYSE listing, ownership reporting, attorneys’ letters to auditors, sustainability reporting, banking and credit agreements, bond indentures, rating agency matters; and ensuring compliance with securities-related regulatory matters including Reg. FD, insider trading, Dodd-Frank Act and executive compensation and stock plan matters.
