The position is responsible for reviewing and drafting (i) filings with the Securities and Exchange Commission (“SEC”), including registration statements, Forms 10-K, 10-Q, 8-K and the annual Proxy Statement, (ii) student loan documents, (iii) Company debt documents, (iv) assisting the General Counsel in matters related to the Board of Directors, as necessary, and (v) material agreements that arise in the ordinary course of business. The attorney will work closely with the Finance Department and, to the extent necessary, outside counsel in connection with filings with the SEC and revisions to debt documents. Work with outside counsel and underwriters’ counsel in connection with drafting and filing of registration statements with the SEC.
