The primary mission of the Senior Staff Counsel M&A is (a) liaising with our Corporate Development Department on all of the Corporation’s mergers, acquisitions, dispositions and franchising initiatives, (b) assisting with the Corporation’s financing initiatives, (c) assisting with the preparation and review of SEC filings, including Section 16 form filings, and (d) liaising with the Human Resources and the Treasury Department on benefits issues. Be the Law Department’s point of contact for our Corporate Development Department. Draft and negotiate letters of intent, term sheets, confidentiality agreements, stock purchase, asset purchase and merger agreements and related ancillary agreements.
