Preparing Board and Governance Committee agendas; acting as Committee liaison for Governance Committee; overseeing and managing Board meetings; handling director compensation; drafting Board and Governance Committee materials and minutes. Drafting and/or reviewing periodic SEC reports; drafting proxy statements and other SEC and NYSE filings.
